STRICS IT GmbH

Paid B2B reservation terms

Updated 2 September 2026

Version 2026-09-02-reverse-charge-b2b-v4

These terms govern the separate €100 paid reservation and administration agreement offered by STRICS IT GmbH through BrandMyBoat.lol. They do not themselves create a sponsorship, advertising order or obligation to buy the boat.

1. Eligible EU businesses only

This online reservation is offered only to businesses established in an EU member state other than Austria, acting for purposes of their trade, business or profession, with a matching valid EU VAT ID that can be verified in VIES. Austrian businesses, consumers and businesses established outside the EU must not use Checkout.

The applicant supplies its legal company name, registered business address, establishment country, company-domain email, EU VAT ID, website and contact person. BrandMyBoat first checks the VAT ID, exact legal form, name and full registered address against VIES. VIES and a VAT number alone do not prove where the business is established or that the applicant controls or may bind it. Before Checkout is unlocked, BrandMyBoat therefore records separate official establishment evidence, company-control evidence and signer-authority evidence in its authenticated owner console. An unavailable, inconclusive or mismatching check blocks payment.

2. Technical steps and correction of input

Step 1: The applicant selects one or more sponsorship spaces and sees their fixed net prices. Step 2: The applicant enters its legal business, registered-address and contact details, reviews the €100 fee and these terms, and actively ticks the business, reverse-charge, fee and funding declarations. Step 3: The application is stored privately as verification pending; no payment is taken and no sponsorship space is held. Step 4: BrandMyBoat checks VIES and separately verifies non-Austrian EU establishment, company control and signer authority using recorded evidence. Step 5: Only after authenticated owner approval can that applicant's private status page request Stripe Checkout. Availability is rechecked and a short payment-pending lock is created at that moment. Step 6: The approved business reviews the matching billing, VAT and payment details at Stripe. Step 7: BrandMyBoat waits for Stripe's signature-verified webhook; only confirmed compliant payment plus a valid yellow hold for every selected space forms the paid reservation.

Before payment, the applicant can abandon its application or Stripe Checkout without being charged. Because an unpaid application creates no inventory hold, requested spaces may cease to be available before approval or before Checkout starts. The browser return page alone is not acceptance and does not activate a paid hold. After payment, factual corrections can be requested at hello@strics.at; a change to selected spaces is subject to availability and may require a new application.

3. €100 reverse-charge fee and formation of the reservation agreement

The reservation and administration fee charged is exactly €100. No Austrian VAT is added. The eligible business buyer accounts for VAT under the reverse-charge procedure in its member state. The fee is separate from the fixed net sponsorship prices and does not count toward the €50,000 net sponsorship target. All sponsorship-space prices are net.

The applicant makes an offer for the paid reservation by completing Stripe's final payment action. The reservation agreement forms only when both conditions are satisfied: Stripe has confirmed successful payment through a signature-verified webhook, and BrandMyBoat has successfully activated a valid yellow hold for all selected spaces. A payment-pending lock, Stripe receipt, browser redirect or success-page visit by itself is not acceptance. If payment succeeds but the promised hold cannot be created, no paid reservation agreement forms and the €100 is refunded in full.

The hold runs for the exact period shown immediately before payment and the exact expiry recorded on the private status page. It temporarily makes all selected spaces unavailable to others. Pre-payment KYB approval only authorises access to Checkout; the paid hold is still not the sponsorship contract, campaign funding, a promise of a particular boat purchase or a guarantee that the campaign will proceed.

4. Contract text, version and language

The contract language is English. BrandMyBoat records the accepted terms version and permanent version path, selected-space snapshot, €100 fee, applicant details, timestamps, hold expiry, approved campaign date pair and relevant Stripe references with the reservation record. The accepted text remains available at brandmyboat.lol/reservation-terms/2026-09-02-reverse-charge-b2b-v4 and can be printed or saved from the browser; a separately retained copy of the accepted version can also be requested from hello@strics.at.

Stripe supplies its payment confirmation or receipt, and BrandMyBoat's private status page supplies the reservation status and expiry. Later changes to the website or to another terms version do not retroactively change an agreement formed under this version. No special industry code of conduct applies unless a later signed sponsorship order expressly says otherwise.

5. Pre-payment verification and the separate sponsorship contract

The applicant must maintain a matching valid EU VAT ID and respond reasonably promptly to requests for establishment, company-control and signer-authority evidence. BrandMyBoat records those separate checks before approving access to Checkout and may refuse the unpaid application without creating a hold. After payment, BrandMyBoat still reviews brand and artwork suitability. Only a separately negotiated and fully signed B2B sponsorship order can make a space red/taken and create later sponsorship rights or payment obligations.

If that sponsorship order closes and the project passes its funding and payment gates, the full €100 is credited against that sponsor's final sponsorship amount. BrandMyBoat bears its own Stripe processing cost; it is not deducted from the €100 credit.

6. Planning model, final boat and visibility

The 3D model, mapped shapes, dimensions and logo preview are planning tools. Space sizes, curvature, seams, waterline relationship and exact installation position are not guaranteed to be millimetre-accurate before the real boat and installer template are available. The final boat or equipment may also change because of availability, purchase price, technical suitability or supplier constraints.

BrandMyBoat will use commercially reasonable efforts to preserve the selected visibility, useful branded area and placement as closely as the real boat, safe marine installation and agreed campaign allow. A materially different boat or placement, or a material reduction for which materially comparable visibility cannot be offered, requires the applicant's written acceptance; otherwise the €100 refund rule below applies. Routes, weather, marina access, audience figures and campaign results are not guaranteed.

7. When the €100 is non-refundable

Once a valid paid hold has been activated, the €100 is earned for the time-limited B2B reservation and its administration. Subject to the refund cases below, it is not refundable merely because the applicant withdraws, does not complete its own review steps in time, lets the hold expire, declines the later sponsorship order, or the campaign does not reach its €50,000 target.

The €100 remains governed by these reservation terms even if no later sponsorship principal is ever requested. Mandatory statutory remedies and any rights that cannot lawfully be excluded remain unaffected.

8. Full €100 refund cases

BrandMyBoat refunds the full €100 for a duplicate payment; a technical payment that fails to create the promised valid hold; a post-payment Stripe, VIES or identity inconsistency that makes the approved transaction ineligible; cancellation of the reservation or campaign by BrandMyBoat; inability to provide the selected visibility or materially comparable visibility; or a material change to the boat or placement that the applicant does not accept in writing.

A refund due under this section is returned through Stripe or another agreed traceable method without a BrandMyBoat deduction for its own payment, processing or bank costs. Charges imposed separately by the applicant's own bank, card issuer, currency-conversion provider or intermediary are not reimbursed or topped up. Mandatory legal remedies remain unaffected.

9. Later €50,000 funding sequence

The later sponsorship funding process is conditional and separate from the €100 reservation. First, fully signed B2B sponsorship orders must together total €50,000 net by the exact signature deadline stated in those orders. No sponsorship balance is called before that signed-order target is met.

Only after the signed orders reach €50,000 net may BrandMyBoat issue matched payment calls under those orders for the remaining sponsorship balances, applying the €100 credits where due. No boat, graphics, transport, installation or other campaign procurement begins unless every called balance has cleared in full by a separate calendar long-stop date stated in the signed orders.

If the signed-order target is not met by its deadline, no sponsorship balances are called. If balances are called but the full clearance gate is not met by the separate long-stop date, BrandMyBoat does not procure the project and returns the sponsorship principal actually received from each compliant sponsor within 10 business days, without a BrandMyBoat deduction. The separate €100 fee remains governed by sections 7 and 8. Charges imposed by the sponsor's own bank, conversion provider or intermediary are not reimbursed or topped up.

The exact calendar signature deadline and later cleared-funds long-stop date applicable to a reservation are the pair shown immediately before payment and stored with that reservation. Live Checkout opens only after the owner has approved this reservation wording, the intended reverse-charge tax treatment, the funding mechanism and that exact date pair, and after the production Stripe tax registration and configuration have been confirmed. Every later sponsorship-order template repeats the same stored dates.

10. Provider, privacy and campaign summary

The provider's legal identity and contact details are in the imprint. The handling of reservation, Stripe and visitor data is described in the privacy notice. The commercial campaign summary, working budget and frequently asked questions are available in the home-page terms section. If a later signed sponsorship order conflicts with a campaign summary, the signed order governs that sponsorship; these versioned terms continue to govern the separate paid reservation.
